Terms and Conditions

This terms of use agreement (user terms) governs your use of the Sapphic Central service – it works in conjunction with the Sapphic Central Privacy Statement. By using the Sapphic Central products and services - the Sapphic Central website, and the Sapphic Central service – you are indicating your acceptance to be bound by the terms contained within these documents.

If you do not accept the terms stated herein, please do not use the services provided by Sapphic Central. Please note that third party contributors (including advertisers) may have additional terms for the use of their respective services.

Definitions
“Sapphic Central” or “We” refers to Sapphic Central Limited. The “Sapphic Central service” or “our service” refers to the website and monthly webzine located at www.sapphiccentral.com, an online lifestyle resource for gay and bisexual women. “You” or “the user” means a subscriber of the Sapphic Central service and/or a visitor to the site. “Account” means your Sapphic Central subscriber’s account, including username and password information.

Subscribing and security
When you subscribe to Sapphic Central you choose a username and password and will provide other pieces of information. You are responsible for providing accurate information and for ensuring it is kept current. Sapphic Central reserves the right to change or revoke your username as it deems necessary. It is your responsibility for maintaining the confidentiality of your password. Passwords are for the sole use of the person to whom they are issued. We may deny access to a password if we reasonably believe that it is being used by an unauthorised person or that the user is breaching these terms and conditions. User responsibilities
Sapphic Central grants you a non-exclusive licence to access and use the service for your personal purposes only. You are entitled to access, download and transmit (for the purposes expressly permitted in these User Terms) and store the Sapphic Central material for your own personal, non-commercial use. You may not restrict or inhibit any other person from using our service. You will not use our service in any part of the world (i.e. any jurisdiction) where it may be prohibited by applicable law. You must not:
• send, receive, upload, download, store, use, distribute or publish any material that is offensive, abusive, indecent, defamatory, obscene, or in breach of any other person's Intellectual Property Rights or breaches any obligation of confidentiality by which you are bound;
• send or distribute multiple unsolicited e-mails or messages ('Spam') or to cause any other person annoyance, inconvenience or worry; and for any purposes connected to any business, including sending any unsolicited advertisements or promotional material.

Sapphic Central welcomes your contribution to our service but shall have no obligations with regard to any submitted content (user generated content) to monitor and ensure that it complies with applicable laws or regulations. You remain solely responsible for any user generated content to ensure compliance with these terms. If you submit anything that contain the name or pictorial representation (photographic or otherwise) of any living person and/or any part of any living person and/o any copy by which any living person is or can be readily identified, you warrant that you have obtained the authority of such living person to make use of such name, representation and/or copy.

Sapphic Central reserves the right to withdraw and/or refuse to publish user generated content if it reasonably believes that it may make Sapphic Central or you liable to any complaint, claim or proceedings.

Changes to the Sapphic Central service
Sapphic Central reserves the right at any time, to change or discontinue any aspect or feature of our service. We also reserve the right to impose limits on certain features and services or restrict your access to parts or all of the service without notice or liability.

Intellectual property
The Sapphic Central service contains material that is copyrighted, trademarked or bound by other propriety information. Without limiting the scope of Sapphic Central’s intellectual property rights, you acknowledge that Sapphic Central and/or its licensors own the intellectual property rights contained in the Sapphic Central material (including but not limited to copyright, database rights, trade marks, patents, service marks, design rights (whether registerable or otherwise) know-how, trade or business names, domain names, goodwill associated with any of the foregoing and other similar rights or obligations whether registerable or not in any jurisdiction in the world.

In using the service for your personal use you must not:
• remove any notices relating to the ownership of copyright or other Intellectual Property Rights in the Sapphic Central Material;
• modify, translate, reverse engineer, reproduce, decompile, disassemble (except as expressly permitted by law) or create derivative works of any of the Sapphic Central Material;
• rent, lease, sub-licence, loan, copy or give or transfer any rights in the Sapphic Central Material in any form, to any person or entity without the prior written consent of Sapphic Central.

Regarding any submissions you make to the site You agree that any material (including any Intellectual Property Rights in such material), including but not limited to chat services, bulletin boards or articles or stories submitted for publication on the website or in using any of the Sapphic Central services ("User Generated Content") may be retained and used by Sapphic Central. You further agree to indemnify and hold harmless Sapphic Central from and against any claim that your user generated content infringes the copyright, trademark or other intellectual property rights of any person or that it is defamatory or infringes any other right of any person.

Third party content and links
The Sapphic Central service includes content provided by third parties. Any opinions, advice, statements, services, offers or other information or content expressed or made available by third parties are those of the respective authors, not of Sapphic Central. Neither Sapphic Central nor any third-party contributor guarantees the accuracy, completeness, or usefulness of any content. Sapphic Central accepts no liability for any loss or damage caused by your reliance on information obtained through our service.

The service also contains links to other internet sites and third-party resources. We are not responsible for either the availability of these outside resources or their content.

Refund policy
The cost of single issue purchases are non-refundable. A pro-rata refund of the unused portion of a current subscription will be granted in accordance with our cancellation policy (see below).

Currency conversion
The Sapphic Central service may be available to countries other than the UK. Our prices are displayed in GBP (Great British Pounds). If you purchase Sapphic Central or any of its materials we will charge you an amount in GBP that is equivalent to the product’s price in its native currency at the time of purchase. When your bank or credit card company converts this price into your local currency the conversion rate may differ slightly and the resulting price may be slightly higher or lower. Your credit card company or bank may charge you for this conversion service. Sapphic Central is not responsible for any currency conversion fees you may be charged.

Auto-renew and cancellations
Your subscription to the Sapphic Central service will be automatically renewed at the end of the subscription term. You will be apprised of the impending renewal date by email. You have the right to cancel your subscription at any time. If you wish to delete your registration or subscription information you can email us at subscriptions@sapphiccentral.com. Your information will then be deleted according to our privacy statement. Once your information is deleted you will receive a refund for any remaining unfulfilled editions. Please be aware that full deletion from our system can take up to 28 days to take effect – any edition issued within this time period will not be refunded.

Merchandise
The goods and services ("Merchandise") which may be purchased by you from companies other than Sapphic Central ("Merchants") via third parties and/or third party web sites linked to this Web Site including without limitation co-branded websites are subject to separate terms and conditions between you and the applicable Merchant. You acknowledge that the applicable Merchant (and not Sapphic Central) is solely responsible for the legal fulfilment of orders for such Merchandise and for its quality, suitability and fitness for purpose. You also acknowledge that the selection of any Merchant or the purchase of any item of Merchandise from the information available on the website or the Merchant's web sites is solely your choice. Any disputes or questions relating to the Merchandise shall be directed to the Merchant in question and you acknowledge that Sapphic Central shall have no responsibility, obligations or liability in relation to the Merchandise.

Prize draws and competition rules
Although prize draws and competitions are open to entrants worldwide, please note that they are UK activities, abiding by UK rules and regulations applicable to prize draws and competitions. Sapphic Central makes no representation that the Competitions comply with the law of any other country other than the United Kingdom or that any prizes offered are appropriate for use, or are legally able to be offered, in the country where you reside. Those who choose to enter any prize draw or competition are solely responsible for compliance with local laws and regulations if and to the extent they are applicable. Sapphic Central shall not be liable to the entrant for any loss or damage caused by your failure to ensure you are eligible to enter.

No purchase is necessary to enter our prize draws or competitions. Some prize draws or competitions may have age restrictions placed on them. If this is the case you will be clearly informed at the point of entry. All winners will be notified by email. Winners have one week to respond and accept or they are disqualified and an alternate will be drawn. Multiple entries will invalidate all other entries of that individual. The odds of winning a prize draw are entirely dependent upon the number of eligible entries received. Some competitions require skill in the method of entry. If this is the case, the details will be explained in the rules of that competition. If the prize draw or competition requires you to fill in a form, you must fully complete the form including all survey questions, any incomplete form will be void and will not be entered in the prize draw or competition. All entries must be completed by the person named on the entry form. If for any reason the prize draw or competition cannot be run as originally planned, for example because of tampering or virus infection, Sapphic Central reserves the right to cancel, modify or suspend the competition and conduct the drawing from all salvageable eligible entries. Once submitted, entries become the property of Sapphic Central and will not be returned.

By entering any Sapphic Central prize draw or competition, you agree to waive any right to claim ambiguity or error in the rules of the prize draw or competition, or the prize draw or competition itself, and agree to be bound by these rules and by all decisions of Sapphic Central. Sapphic Central’s decisions are binding and final and no correspondence will be entered into. The prize draw or competition is void where prohibited by law. All prize winners are responsible for the payment of any and all taxes and/or licenses and/or other fees that may apply to such winnings. Sapphic Central accepts no responsibility for prizes that may be damaged in transit to prize winners.

We collect the information you submit so we can contact you if you are a winner and send you your prize. We may also use the information to determine your eligibility to participate in the prize draw or competition. The collection, storage and use of your details are bound by the terms of our Privacy statement. Winners may be required to participate in publicity. By entering the prize draw or competition prize winners authorise Sapphic Central to publish their name, city and photograph in any forthcoming publicity without further remuneration.

Sapphic Central does not accept any responsibility for entries that are delayed or lost for any reason. The date and time of receipt by Sapphic Central will be taken as conclusive date of entry and proof of sending is not proof of receipt. The failure of any entry to be delivered by the closing date, or in the manner specified, will make the entry invalid.

Prizes will be as stated and are not transferable, non-negotiable and non-refundable. Cash alternatives will not be offered. Sapphic Central reserves the right to offer alternative prizes of equal value, should the original prizes become unavailable in circumstances beyond our control.

Disclaimer
The Sapphic Central service is provided “as is” without warranties of any kind, either express or implied, including without limitation warranties of title, non-infringement, non-interference, accuracy of data, merchantability, or fitness for a particular purpose, other than those warranties which are implied by and incapable of exclusion, restriction or modification under the laws applicable to this agreement.

Without limiting the foregoing, neither Sapphic Central nor its affiliates, licensors, contributors, or agents warrant that the Sapphic Central service will be uninterrupted, timely, or error free; nor do they make any warranty as to the results that may be obtained from use of the service, or as to the accuracy, reliability, or content of any information, service, or goods provided in connection with the Sapphic Central service.

Sapphic Central is not responsible for any failure to perform any obligation under these User Terms due to a matter beyond its reasonable control, including (but not limited to) fire, flood, explosion, war, civil disorder, industrial disputes (whether or not involving its employees), or other disasters or governmental laws and regulations imposed after the fact, or events beyond the reasonable control of Sapphic Central or its affiliates, licensors, contributors, or agents, neither Sapphic Central nor its affiliates, licensors, contributors, or agents will have any liability for that failure to perform.

Your use of the Internet is solely at your own risk and subject to all applicable laws, and Sapphic Central has no responsibility for any information, software, services or other materials accessed or obtained by you using the Internet.

Limitation of liability
To the full extent permissible by law, in no event will Sapphic Central or its affiliates, licensors, contributors, or agents be liable for any damage or loss (including, without limitation, financial loss, loss of profits, loss of business or any indirect or consequential loss), however it arises, resulting from the use of or inability to use this website or any material appearing on it or from any action or decision taken as a result of using the website or any such material.

Indemnification
You agree to defend, indemnify and hold harmless Sapphic Central, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses (including legal fees) arising out of your use of the Sapphic Central service.

Monitoring
We have the right, but not the obligation, to monitor the service to determine compliance with this agreement and to satisfy any law, regulation or authorised government request. Without limiting the foregoing, we shall have the right to remove any content that we, in our sole discretion, find to be in violation of the provisions contained herein or otherwise objectionable or in breach of our licensors’ obligations.

Revisions
These terms may be changed by Sapphic Central at any time. We will notify our subscribers by email if these terms have been amended. Your continued use of the service after notice of the new agreement constitutes your acceptance of the new agreement.

Termination
Either Sapphic Central or you may terminate this agreement at any time. Without limiting the foregoing, we have the right to immediately terminate your account in the event that you breach this agreement. If your account is terminated, you are and will remain responsible for all charges incurred up to the time of termination. The provisions of this agreement barring user responsibilities and changes to the Sapphic Central service shall survive termination of this agreement.

Miscellaneous
These terms and conditions shall be interpreted in accordance with the Laws of England and any dispute shall be subject to the exclusive jurisdiction of the English Courts
